Hold Harmless & Release of Liability Agreement

THIS HOLD HARMLESS AND RELEASE OF LIABILITY AGREEMENT (“Agreement”) is entered into by and between the user (“User,” “you,” or “your”) and Campus Exchanges (“Campus Exchanges,” “we,” “us,” or “our”). This Agreement is intended to be enforceable to the fullest extent permitted by law across all fifty (50) U.S. states and U.S. territories and is incorporated into the Campus Exchanges Terms of Service.
1. Purpose
Campus Exchanges operates as a peer-to-peer marketplace that enables users to connect for the buying and selling of used textbooks and miscellaneous items. Campus Exchanges does not own, control, supervise, or inspect any items or in-person interactions.
2. Assumption of Risk
You acknowledge and voluntarily assume all risks associated with:
– Use of the Campus Exchanges platform
– In-person meetings or exchanges
– Transportation to and from meeting locations
– Handling, use, or possession of purchased items
– Interactions with other users, whether on or off campus
Risks may include, but are not limited to, personal injury, property damage, theft, fraud, or other harm.
3. Hold Harmless & Release
To the fullest extent permitted by applicable law, you agree to release, indemnify, defend, and hold harmless Campus Exchanges, its owners, officers, directors, employees, contractors, agents, and affiliates from any and all claims, demands, damages, losses, liabilities, costs, or expenses arising out of or related to:
– Your use of the Platform
– Transactions or interactions with other users
– In-person meetups or exchanges
– Violation of platform policies
– Violation of any law or regulation
4. No Warranty or Guarantee
Campus Exchanges provides the Platform on an “AS IS” and “AS AVAILABLE” basis and makes no warranties regarding:
– User identity verification
– Safety of meetups or campuses
– Quality, legality, or condition of items
– Conduct or intent of any user
5. State Law Savings Clause
Some states and territories do not allow certain liability limitations. This Agreement shall be interpreted to apply only to the maximum extent permitted by applicable law. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
6. Covenant Not to Sue
You agree not to initiate or participate in any lawsuit, claim, or proceeding against Campus Exchanges for matters covered by this Agreement, except where prohibited by law.
7. Waiver of Unknown Claims
You expressly waive any rights under laws similar to California Civil Code Section 1542, which provides protection against unknown claims, to the extent permitted by law.
8. Severability
If any portion of this Agreement is held invalid or unenforceable, such portion shall be severed and the remaining provisions shall continue in full force and effect.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws specified in the Campus Exchanges Terms of Service, without regard to conflict-of-law principles.
10. Acknowledgment & Acceptance
By accessing or using Campus Exchanges, you acknowledge that you:
– Have read and understood this Agreement
– Understand the risks involved
– Voluntarily agree to be bound by its terms
– Are at least 18 years of age
